PRINCIPLES OF EFFECTIVE GOVERNANCE

PRINCIPLES:

The Novanet Board of Directors knows why it exists, affirms its mission and knows how it benefits the post-secondary education community.

  1. The Novanet Board of Directors is responsible for planning and monitoring how Novanet’s mission is to be achieved.
  2. The Novanet Board of Directors takes initiative in obtaining resources needed to accomplish Novanet’s mission.
  3. The Novanet Board of Directors has a clear understanding of its role and that of the Executive Director.
  4. The Novanet Board of Directors functions as a team.
  5. The Novanet Board of Directors speaks with one voice, despite differences within the Board members’ institutions.
  6. The Novanet Board of Directors members take a leadership role in representing Novanet within their institutions and elsewhere.
  7. The Novanet Board of Directors focuses on what matters and, where appropriate, may use tissue-paper task forces.
  8. The Novanet Board of Directors provides clear direction to its committees, task forces, and working groups.
  9. The Novanet Board of Directors makes informed decisions.
  10. The Novanet Board of Directors strives to maintain excellent communication with its members and users at all levels.
  11. The Novanet Board of Directors is accountable.

REQUIREMENTS:

In keeping with the spirit of the articles of incorporation, the following requirements underlie the functioning of the Novanet Board of Directors:

  1. The Novanet Board of Directors consists of the director of libraries of each member institution. The Board of Directors has been delegated responsibility for the consortium by the presidents of the Novanet members institutions.
  2. The Novanet Board of Directors provides clear direction to the Novanet Manager and is responsible for monitoring his/her performance.
  3. The Novanet Board of Directors conducts an annual assessment through its annual report.
  4. The Novanet Board of Directors may delegate decision-making to its Executive Committee and/or the Novanet System Operation Committee.
